If you do not agree to these terms and conditions, you must refrain from accessing or using the platform as a guest.

The following terms and conditions apply to all users with respect to the services provided through THE NEST ’s platform. These terms and conditions become effective immediately upon your acceptance of the services through the platform or through any other form of communication with THE NEST.

Please note that our Privacy Policy (link of Privacy Policy) should be reviewed and accepted, as it forms an integral part of these terms and conditions.

This agreement supersedes any prior agreements or arrangements between you and THE NEST. THE NEST reserves the right to terminate this agreement and/or the provision of any services hereunder immediately, or to cease providing or deny access to the services or any part thereof at its sole discretion, at any time and for any reason, without liability to you.

The user agrees and acknowledges that their use of THE NEST ’s platform and services is done at their own risk and further acknowledges that THE NEST disclaims and is released from any representations or warranties of any kind, whether express or implied.

Definitions:

The following definitions apply to the terms and conditions set forth below. These terms and conditions, along with the Privacy Policy, collectively represent all that has been agreed upon and understood between THE NEST and the User, whether the User is an individual or entity accessing the Platform.

The terms “we” “us” “our” “the company” “THE NEST ” “the platform” refer to THE NEST, its employees, and its authorized agents.

Users: Independent individuals (whether natural or legal people) who benefit from the various services offered on the Platform.

Services: The services provided by THE NEST as outlined in these terms and conditions.

Platform: Refers to THE NEST ’s website through which the services provided by THE NEST are utilized.

Force Majeure: Refers to any act of nature, including but not limited to fire, floods, storms, hurricanes, tornados, volcanic activity, earthquakes, as well as any actions, orders, or requests issued by a sovereign authority, government, or any entity acting on behalf of such authority, and war (whether declared or undeclared), acts of war, revolutions, riots, civil commotion, civil unrest, strikes, work stoppages, or any other similar acts that constitute labor disputes, or any other similar cause beyond the control of any party, unless the performance of the obligation is guaranteed through an express waiver of exemption in the event of force majeure.

Service Providers are all the service providers that offer services related to corporates on The Nest Platform.

Applicable Laws: Refers to the laws in force in the Arab Republic of Egypt.

Property or Properties refers to the units that are listed for rent on The Nest Platform.

Eligibility:

To ensure that users have the legal capacity to enter binding contracts, the use of THE NEST ‘s Platform is not granted to individuals under the age of 18 or under the legal age in your jurisdiction, whichever is higher.

If you are registering as a business entity (company), you represent that you have the authority to bind your entity to these terms and conditions, and that both you and your business entity will comply with all applicable laws and regulations governing the use of the Platform.

Accounts and Registration:

To benefit from the services, you must provide all necessary information to create your account and allow THE NEST to provide services to you. Alternatively, you may use the platform as a guest.

THE NEST platform requires you to provide certain personal information to THE NEST if you are using the platform as a natural or legal person, including but not limited to:

As a natural person: Your full name, place of residence, qualifications, résumé, employment history, mobile number, email address, credit card details, and profile picture.

As a legal entity: The trade name, commercial registration number, principal office address, the company’s email address, past work experience, and the company’s bank account details.

You agree to maintain accurate, complete, and updated information in your account. You are responsible for all activities that occur under your account, and you agree to maintain the confidentiality of your username and password unless otherwise authorized in writing by THE NEST.

As user accounts are non-transferable, you agree to indemnify THE NEST for any unauthorized, unlawful, or improper use of your account, whether by you or by any person accessing the Platform, services, or otherwise through your designated username or password, regardless of whether you permitted such access.

You agree that you are solely responsible for all activities related to your THE NEST account and must immediately notify us of any unauthorized use of your account.

We may terminate or suspend your account or your access to the services, in whole or in part, at our sole discretion, for any reason or no reason, without notice or liability of any kind. For example, we may terminate or suspend your account or access to the services if you misuse the platform. Any such termination or suspension may prevent you from accessing your account.

If THE NEST has any reason to suspect (at its sole discretion) that any information you provided is false, inaccurate, incomplete, or not up to date, THE NEST reserves the right, without prejudice to any other rights or remedies available under these terms and conditions or applicable laws, to suspend, restrict, or limit your access to the platform and its services.

THE NEST may, at its sole discretion and at any time, make inquiries (either directly or through a third party) and request further information or documents from you, including but not limited to identity verification or proof of ownership of financial instruments.

Services:

THE NEST is a property-focused platform specifically designed to help members find the best property available for vacation rentals. It also facilitates booking short-term rentals up to 3 months between the guests and our properties that we are fully authorized to rent out and it Facilitates communication between property owners or managers and guests seeking short-term or seasonal accommodation. The platform offers a wide range of real estate services related to vacation stays, including—but not limited to—listing vacation rental units and connecting potential renters with hosts through a secure and user-friendly interface.

Support in listing properties for rent for vacation purposes

a-      The Nest platform provides a service to assist users in listing properties designated for short-term or seasonal rental through its electronic platform, with the purpose of facilitating and expediting the promotion and rental of properties for vacation and holiday purposes

b.Users may utilize the platform to either search for vacation rental units or list their own properties for rent, according to their individual preferences, including location, size, available amenities and services, and the average prices in the targeted area

Use of the Platform:

In consideration of the user’s commitment to these terms and conditions, THE NEST grants the user a limited, non-exclusive, non-transferable, revocable license for the following:

–    Accessing and using the services in connection with the provision of services only.

–    Access any content, information, and materials available through the platform strictly for personal, non-commercial use

It is understood that any right not expressly granted in these terms is reserved by THE NEST, and such rights may be revoked or terminated at any time without prior notice to the user.

Users are prohibited from using any trademark or intellectual property rights owned by THE NEST, from any part of the services. They are also prohibited from reproducing, modifying, creating derivative works, publishing, distributing, transmitting, displaying, broadcasting, or otherwise exploiting the services unless permitted or expressly authorized in writing by THE NEST. Furthermore, users may not disassemble, reverse-engineer, or reconfigure any part of the services or link any part of the services to any reverse system. Copying, framing, launching any programs or scripts for scraping, indexing, scanning, or extracting data from the services in any other way, or burdening or hindering the operation of any aspect of the services, or attempting unauthorized access to the services, or impairing any aspect of the services or the associated systems or networks is also prohibited.

Users are not allowed to publish any of the following on any part of the Platform (as determined at our sole discretion):Any advertisements for solicitation, Any promotional material, Use of offensive language or materials that are obscene or contain insults or cultural or religious transgressions, Any politically critical content, Materials that could pose a threat to public interest or national security, Content that may cause harm to reputation, defamation, or any other content that may be offensive or obscene.

It is strictly prohibited to copy, transfer, reproduce, duplicate, publish, or redistribute (a) the content or any part thereof and/or (b) the services in general without obtaining prior written permission from THE NEST. Electronic Communication:

When creating an account, you agree to communicate with us electronically. Therefore, you consent to receive periodic messages from us. THE NEST will communicate with you via email, and may also send you information through text messages, as well as publish notifications on the Platform as part of the regular business management associated with your use of the services. You acknowledge that your choice not to use the mentioned electronic communication methods may affect your ability to use the services.

You also agree that all agreements, notices, disclosures, and other communications that we provide to you electronically shall satisfy any legal requirement that such communications be in writing.

THE NEST will request your consent during the registration process to send you emails or promotional notifications related to the Platform and its services. If at any time you decide or indicate that you do not wish to receive promotional emails, you can opt out by clicking the link located at the bottom of any promotional email.

Payments:

By using The Nest’s payment services, its authorized payment providers to charge your payment method for the total booking cost. This may include the rental rate set by the Host, applicable taxes, platform service fees, and any additional charges outlined at the time of booking.

Payment is typically collected at the time a reservation is confirmed. In some cases, The Nest may offer alternative payment schedules (e.g., partial payment now, balance later). Any such options will be clearly disclosed at checkout.

Payment methods and currencies available depend on your country of residence. If your payment is made in a different currency than your card or bank account, your financial institution may apply foreign exchange or transaction fees. The Nest is not responsible for these additional charges.

THE NEST offers an electronic payment method on the Platform through electronic payment means, including but not limited to Pay tabs, instapay, payment points, credit cards, and banking wallets.

THE NEST shall not be liable for any errors, damages, or similar issues that users may encounter as a result of using electronic payment methods, as this remains the user’s responsibility.

THE NEST retains the right to change or modify payment methods and service fees without prior notice. However, these changes will be reflected on the platform before your request.

You must ensure that there are sufficient financial resources in the relevant account to cover the services provided, and you must adhere to the credit card transaction limits.

Users agree to receive a receipt via email, text messages, or through the Platform itself after paying the fees.

THE NEST may, at its sole discretion and at any time, raise any inquiries it deems necessary (either directly or through others) and may request that you provide further information or documents, including but not limited to any information or documents required to verify your identity and/or ownership of financial instruments. You must therefore agree to provide any information and/or documents to THE NEST upon request. You acknowledge and agree that if you are unable to do so, THE NEST may, without any liability on its part, cancel the transaction or restrict or suspend your access to the Platform or withdraw your membership.

Cancelation and Refund Policy

The Nest is committed to providing exceptional service in a timely and reliable manner. When a guest cancels without adequate notice, it prevents others from booking the same property and affects the overall user experience. Late cancellations and no-shows disrupt scheduling and reduce availability for other users. For this reason, The Nest has adopted a clear and strictly enforced cancellation policy.

A reservation is considered confirmed only once full payment has been received. Payments can be made online through The Nest platform. Please note that we do not reserve any property listings without full payment.
Upon successful payment, a confirmation email will be sent to the registered email address, serving as proof of your booking.

Cancellation requests may be submitted by phone, email, online or in person. Please note that refunds will be processed in the original form of payment. If you have any questions or concerns about our cancellation policy, please contact us at (PHONE NUMBER]

Guests can cancel their reservation before the check-in date and will receive a full refund of the booking amount, provided the cancellation occurs at least 24 hours before check-in.

Special promotional rates or discounted bookings have stricter cancellation terms and are non-refundable.

THE NEST shall not be liable for any delay, interruption, or failure in the provisioning of Services if caused by acts of God, including but not limited to declared or undeclared war, fire, flood, storm, slide, earthquake, power failure, “Force Majeure”, the inability to obtain equipment, supplies or other facilities that are not caused by a failure to pay, labor disputes, or other similar events beyond Our control that may prevent or delay Service provisioning.

Copyrights and Trademarks:

All content on the Platform, including but not limited to text, graphics, logos of THE NEST, buttons, images, audio clips, digital downloads, data compilations, and software programs, is considered the property of THE NEST or its licensors. This content is protected under copyright law, trademark rights, patents, and other intellectual property rights and laws. The aggregated content on the Platform is considered the exclusive property and authorship of THE NEST, and is similarly protected by copyright law, trademark rights, patents, and other intellectual property rights and laws.

The trademark of THE NEST and related symbols are proprietary trademarks of THE NEST. It is prohibited to use THE NEST ’s trademarks in connection with any product or service that is not offered on THE NEST, or for any product or service that may disparage or harm the reputation of THE NEST.

Data Confidentiality and Privacy:

Under this agreement, you consent to the collection and processing of your personal data by THE NEST. We are committed to protecting personal data in accordance with our privacy policy.

Users (or the users) are prohibited from disclosing to others any information received under a service contract with THE NEST. Access to any information related to THE NEST ‘s business must be treated as confidential, to the extent that it may negatively affect THE NEST ‘s business. Users (or the users) are responsible for compensating THE NEST for any loss in business or reputation that occurs as a result of any action taken by the user (or users).

Disclaimer of Liability:

You will use the services at your own risk. The services are provided “as is” and “as available“. THE NEST is exempt from, and disclaims, all representations and warranties, whether express, implied, or statutory, that are not explicitly stated in these terms. THE NEST makes no representation or warranty regarding the reliability, accuracy, timeliness, quality, or availability of the services or any services requested through the use of THE NEST ‘s services. THE NEST does not guarantee that the services will be uninterrupted or error-free, nor does it provide any warranty regarding the quality, suitability, or capabilities of the services. Therefore, you agree to assume full responsibility for any risks arising from your use of the services to the maximum extent permitted by applicable law.

You agree that all risks arising from your use of the services and any service or goods requested in connection with them remain solely with you, to the maximum extent permitted by applicable law.

All accounts registered on THE NEST are subject to continuous monitoring for security and performance reasons. Furthermore, we hereby clarify that THE NEST does not have any account of any kind.

General Provisions:

THE NEST acts solely as an intermediary, providing the Platform for service providers to offer their services to interested users.

We do not participate in reviewing any reports about users on the Platform. We do not provide any guarantees or assume any responsibility for the quality or accuracy of the services provided by the service providers.

THE NEST is not liable for any problems, disputes, losses, damages, or claims arising from the services provided by the service providers or any interactions between the service providers and users on the Platform.

Limitation of liability:

THE NEST shall not be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages, including data loss or any damage to your personal bank account or your account on THE NEST, even if THE NEST has been advised of the possibility of such damages. THE NEST shall not be responsible for any damages, liabilities, or losses incurred by you arising from your use of the services or reliance on them, or due to your inability to access or use the services, even if THE NEST has been made aware of the possibility of such damages.

THE NEST will not be liable for any delay or failure to perform due to causes beyond THE NEST ‘s reasonable control. These limitations do not aim to limit liabilities that cannot be excluded under applicable law.

THE NEST has the right to disclose any information it possesses concerning the user to its affiliated corporate entities within its group of companies, or as required by law, or if requested or directed by any official government entity. THE NEST will do this at its sole discretion or as deemed appropriate by us or if such a disclosure serves our interests.

THE NEST also has the right to disclose user information to service providers to the extent necessary for the service providers to provide their services.

THE NEST reserves the right to make any additions to these terms and conditions or to change or modify them at any time without notice. Users must comply with any additions, changes, or modifications when they are incorporated into these terms and conditions on THE NEST ‘s Platform.

The limitations of liability stated do not restrict liabilities that cannot be excluded under applicable laws governing the Platform.

Indemnification:

You agree to indemnify THE NEST  and hold it, its affiliates, its sponsors, partners, directors, officers, and employees harmless from any harm and from all losses, damages, liabilities, claims, judgments, settlements, fines, costs, and expenses (including reasonable legal fees and costs of investigation), and to pay these amounts to THE NEST , if such expenses arise or are related to any breach by you of these terms and conditions, or our applicable privacy policy, or your use of any service provider for the relevant services.

Account Closure:

Users can close their accounts at any time. This option is available from wecare@tnehospitality.com

User Data Availability:

The terms agreed upon with our various users require them to ensure that the personal data is genuine and original, and free from any fraud, thus the user alone is responsible for the accuracy of the information and data without any liability on THE NEST. We make every effort to ensure that the data provided through us is genuine and trustworthy.

As for the information provided by THE NEST, we strive to keep the information updated and accurate; however, we do not make any representations or warranties of any kind, either express or implied, regarding the completeness, accuracy, reliability, appropriateness, or availability of the Platform, or the information or services, or any associated graphics contained on the Platform for any purpose. Consequently, your reliance on such information is entirely at your own risk.

Third-Party Services:

The service may be provided or accessed through third-party service providers, as well as through content (including any advertising content) that is not under the control or authority of THE NEST. You acknowledge that different terms of use and other privacy policies may apply when using the services of such third parties and that content. However, THE NEST does not endorse any third-party services or their content and assumes no responsibility or liability for any kind for any service provided by third-party service providers.

Third-Party Website Links:

Our Platform may contain links to websites operated by parties other than THE NEST. These links are provided for reference only. We do not control these sites and are not responsible for their content, privacy, or other practices. These terms and conditions will not apply to your use of any external platform that you access via our Platform. Your use of any external platform may be subject to additional terms and conditions, which we suggest you read carefully before visiting such a platform.

Applicable Laws:

The rights and obligations of the parties under these terms and conditions are governed by and construed in accordance with the laws of the Arab Republic of Egypt.

You hereby submit, without limitation, to the exclusive jurisdiction of the courts of the Arab Republic of Egypt regarding any disputes arising out of these terms and conditions or related to them, and you shall waive any right to initiate legal proceedings in any other jurisdiction. We reserve the right to take legal action regarding any matter arising under these terms and conditions in any jurisdiction where you reside or conduct your business or have any assets.

In the event of any dispute or conflict arising from the provisions of these terms and conditions, the Arabic text shall prevail.

Severability:

If any part of these terms and conditions is determined to be invalid, unenforceable, or ineffective under applicable law, such part shall be deemed invalid or ineffective only to the extent of such invalidity or unenforceability, without affecting the validity or enforceability of the remaining parts of the terms and conditions.

Entire Agreement:

This agreement, along with THE NEST ’s privacy policy, constitutes the entire agreement between you and THE NEST concerning the use of the Platform and services and supersedes all prior negotiations or agreements, whether oral or written, regarding the subject matter of this agreement.

We reserve the right, at our sole discretion, to update, change, or replace any part of these terms and conditions by posting updates and changes on the Platform. It is your responsibility to check the Platform periodically for changes. Your continued use or access to the Platform or service after any changes to these terms and conditions constitutes acceptance of those changes.
